Terms of Service

These Terms of Service ("Terms") are an agreement between you ("you", "user") and {{COMPANY_LEGAL_NAME}} ("Sameface", "we", "us", "our"), a {{COMPANY_FORM}} with its registered office at {{REGISTERED_ADDRESS}}.

These Terms govern your access to and use of our web-based AI cartoon video creation platform located at sameface.in and related applications and APIs (collectively, the "Service").

By signing up, creating an account, or using the Service, you confirm that you have read, understand, and agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

You must be at least {{MINIMUM_AGE}} years old to create an account or use Sameface. If you are under the legal age of majority in your jurisdiction, you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms. If you access or use the Service on behalf of a company, business, or organization, you represent and warrant that you have full legal authority to bind that entity to these Terms.

You must provide accurate, current, and complete information during registration. You are responsible for keeping your account login credentials secure. You must notify us immediately at [email protected] if you suspect any unauthorized access to your account. You are responsible for all activities that take place under your account.

Each user receives a personal workspace. All scripts, character profiles, generated video files, and credit balances live within your workspace. Collaborative team workspaces may be introduced in future updates under separate terms or plan add-ons.

Sameface is a web-based cartoon video creation platform. It allows users to create a locked character identity, write scripts, generate voice tracks and cartoon animations, and export episodic cartoon videos.

We continuously improve the Service. We may add, update, modify, suspend, or discontinue any feature, tool, or part of the Service at any time. We provide the Service without guarantees of uninterrupted uptime or error-free operation.

From time to time, we may offer preview or beta features marked as such. Beta features are provided for testing purposes only, may contain bugs, and may be changed or removed at our discretion without prior notice.

You may upload or submit text prompts, dialogue scripts, character descriptions, and reference images ("User Inputs") to the Service.

As between you and Sameface, you retain full ownership of your User Inputs. We do not claim ownership of the scripts, prompts, or images you upload.

You grant Sameface, its hosting providers, and technical subprocessors a worldwide, non-exclusive, royalty-free, limited license to host, copy, process, transmit, cache, and display your User Inputs solely to operate, maintain, secure, and deliver the Service to you. We do not use your private User Inputs to train our own foundation models without your explicit opt-in consent [CONFIRM].

You confirm that:

1. You hold all necessary copyrights, trademark rights, publicity rights, and permissions for all User Inputs you upload.
2. If your User Inputs include likenesses, photos, or reference images of any living person, you have secured verifiable written consent from that person (or their parent/guardian if a minor).
3. Your User Inputs do not violate our Acceptable Use Policy or applicable law.

When you run a render job, the Service generates cartoon imagery, video scenes, character voice audio, and compiled episode files ("Outputs").

Subject to your continuous compliance with these Terms, payment of applicable plan fees, and the terms of our underlying third-party AI model providers, you own the rights in the Outputs generated by your workspace, or are granted full commercial monetization rights {{OUTPUT_RIGHTS_BY_PLAN}} [CONFIRM]. You are permitted to publish, monetize, distribute, and broadcast your completed cartoon episodes on platforms including YouTube, TikTok, Instagram, television, and client projects.

Outputs are generated using automated artificial intelligence systems. You acknowledge that:

1. Other users asking similar prompts may generate similar or identical cartoon characters or visual scenes. Outputs cannot be guaranteed to be unique.
2. AI generation is probabilistic and may occasionally produce visual anomalies, factual inaccuracies, or unexpected artifacts.
3. You are responsible for complying with any applicable local laws, advertising rules, or platform policies that require disclosing or labeling AI-generated media.

Our Character Lock feature enables you to establish a consistent cartoon character style, facial structure, and visual DNA across scenes and episodes.

Character profiles and DNA anchors created within your workspace belong exclusively to your workspace. Sameface does not license, share, or inject your locked character assets into the workspaces of other customers.

Rendering video scenes and exporting episodes consume credits.

Credits represent a limited license to access computational rendering time. Credits have no cash or monetary value, cannot be redeemed for fiat currency, cannot be transferred between accounts, and do not earn interest.

• Free Plan: Includes a limited trial credit allowance and applies a visible Sameface watermark to rendered videos. Free plan media may expire after {{FREE_MEDIA_EXPIRY}} days of inactivity.
• Paid Subscriptions: Monthly or annual subscriptions provide an allotment of credits refreshed at each billing cycle. Unused monthly plan credits expire at the end of each billing period {{CREDIT_EXPIRY_RULES}} [CONFIRM].
• Credit Top-Up Packs: Users may purchase additional one-time credit top-up packs. Purchased top-up credits remain valid for {{TOPUP_REFUND_RULES}} [CONFIRM].

If a video generation job fails to complete due to a technical server error or infrastructure crash on our end, the deducted credits are automatically credited back to your workspace balance immediately upon job failure. Renders that finish successfully but do not match your artistic taste or expectation are not eligible for automated credit refunds.

To prevent system abuse and maintain server stability for all creators, we enforce reasonable rate limits, queue caps, and concurrent render restrictions depending on your subscription tier.

Paid subscriptions and credit purchases are processed securely through Stripe (Stripe Payments). Sameface does not collect or store your full credit card number or bank account details. Your payment transactions are subject to Stripe's terms and privacy policies.

Paid subscriptions renew automatically at the end of each billing period (monthly or yearly) at the then-current plan price, unless you cancel prior to the renewal date. By subscribing, you authorize Stripe to charge your designated payment method on each renewal date.

We may adjust subscription prices upon at least 30 days' advance notice by email or prominent in-app notification. If you do not agree to a price change, you must cancel your subscription before the new price takes effect.

Subscription and credit prices exclude applicable sales tax, VAT, GST, or similar taxes unless explicitly stated otherwise. You are responsible for paying any taxes assessed on your transactions [CONFIRM].

You may cancel your subscription at any time through the in-app billing settings or Stripe Customer Portal. When you cancel, your subscription remains active until the conclusion of the current paid billing period, and no further renewal charges will be made. Refunds are governed strictly by our Refund Policy.

You agree to comply with our Acceptable Use Policy, which forms an integral part of these Terms. Prohibited conduct includes creating sexual abuse material, non-consensual deepfakes, hate speech, malware, or attempting to reverse-engineer our models and infrastructure. Violations may result in immediate suspension or permanent account termination.

All software, user interface designs, logos, trademarks, text, graphics, documentation, Character Lock algorithms, and proprietary code created by Sameface remain the exclusive property of {{COMPANY_LEGAL_NAME}} and its licensors.

If you provide suggestions, feature ideas, feedback, or bug reports to us, you grant us an irrevocable, perpetual, royalty-free, worldwide license to use and implement that feedback without any obligation of compensation or attribution to you.

The Service integrates with and relies on external third-party services, including cloud hosting (Vercel), infrastructure and storage (Cloudflare), database and authentication (Google Firebase), payments (Stripe), email delivery (Resend), error tracking (Sentry), and AI generation engines {{AI_PROVIDERS}}.

We do not operate or control third-party platforms. We are not responsible for outages, rate limits, or changes instituted by independent third parties.

We respect intellectual property rights and human dignity. If you believe any content on Sameface infringes your copyright, trademark, or privacy rights, or depicts your likeness without consent:

1. Send an email to [email protected] with the subject "Takedown Request".
2. Identify the specific URL, workspace, or generated media.
3. Provide proof of your rights or ownership.
4. Provide your contact details and a statement of good-faith belief.

We act promptly on substantiated notices and maintain a policy to suspend or terminate the accounts of repeat infringers [CONFIRM: jurisdiction-specific notice process].

You may stop using Sameface and delete your account at any time through your in-app account settings.

We may temporarily suspend or permanently terminate your access to the Service immediately and without prior notice if:

1. You materially or repeatedly breach these Terms or our Acceptable Use Policy.
2. We are required to do so by a court order, law enforcement request, or legal obligation.
3. Your account poses a security risk or threatens platform integrity.
4. Your payment fails or you file an unauthorized chargeback.

Upon termination, your right to use the Service ceases immediately. You will have a grace window of 14 days {{CONFIRM_EXPORT_WINDOW}} to export your rendered videos and character data, after which we may permanently delete your workspace assets in accordance with our data retention schedule.

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your specific creative requirements or be uninterrupted, secure, or bug-free.

To the maximum extent permitted by applicable law, in no event shall {{COMPANY_LEGAL_NAME}}, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption, arising out of or related to your use of the Service.

Our total cumulative liability for all claims arising under or relating to these Terms or the Service shall not exceed the greater of: (a) the total amount paid by you to Sameface in the twelve (12) months immediately preceding the event giving rise to liability; or (b) USD $100 [CONFIRM: liability cap and jurisdiction-specific limits].

You agree to defend, indemnify, and hold harmless {{COMPANY_LEGAL_NAME}}, its officers, directors, employees, and agents from and against any third-party claims, liabilities, damages, losses, and reasonable legal fees arising out of:

1. Your User Inputs or your unauthorized use of third-party images or likenesses.
2. Your distribution or monetization of Outputs in violation of law or platform rules.
3. Your violation of these Terms or the rights of any third party.

These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with {{GOVERNING_LAW}}, without regard to conflict of law principles.

Any dispute, controversy, or claim arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts located in {{DISPUTE_VENUE}} [CONFIRM]. Before initiating formal litigation, both you and Sameface agree to make a good-faith effort to resolve any dispute informally by contacting [email protected] for at least 30 days.

• Entire Agreement: These Terms, together with our Privacy Policy, Acceptable Use Policy, and Refund Policy, constitute the entire agreement between you and Sameface regarding the Service.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force.
• No Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
• Force Majeure: We will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including natural disasters, internet infrastructure failure, war, strikes, or government actions.

We may update these Terms from time to time. When we make material changes, we will notify you by email or through a visible prompt in the application at least 15 days before the changes take effect. Your continued use of Sameface after the effective date of revised Terms constitutes your acceptance of the revisions.
